SDAC reserves the right to amend these terms. The latest version will always be available upon request.
1.GENERAL
1.1.In these terms and conditions of sale (“Conditions”) the following words have the meanings shown: “Client” means the person, firm or company purchasing Services from SDAC; “Contract” means any agreement between SDAC and the Client for the purchase Servicesfrom/by SDAC; “SDAC” means SyanDesigners and Consultancy or one of its associated or subsidiary companies asthe case may be; “Personnel” means the employees, servants, directors, agents,consultants or other personnel of SDAC or any of their subcontractors; and“Services” means the services to be supplied by SDAC under or in relation to theContract.
1.2.Headings do not affect the interpretation ofthese Conditions.
2.Contract Formation
This agreement becomes binding only upon writtenconfirmation and receipt of the initial advance payment. No obligation shall beassumed unless both parties have acknowledged the scope of work and paymentstructure.
3.SCOPE OF WORK
3.1.SDAC will try it’s best to work according to therequirements mentioned by the client & as agreed.
3.2.Following will be the scope of work forArchitecture/Vastu services:
3.2.1. 2D Architectural floorplanning,
3.2.2. Rooms sizes with properlabel,
3.2.3. Basic Furnitureplacement,
3.2.4. Estimated column location,
3.2.5. Room location as perVastu (for Vastu design).
3.3.Following will be the scope of work forStructure design services:
3.3.1. Foundation Layout, Size& Reinf. Details,
3.3.2. Column Layout, Size& Reinf. Details,
3.3.3. Beam layout, Size &Reinf. Details,
3.3.4. Slab Thickness &Reinf. Details,
3.3.5. The design will be as perIS 456:2000, IS 875 Part 1 & 2, IS 1893:2016 & IS 13920:2016 or latestIS codes.
4.REVISIONS OF DESIGN
4.1.Two revisions of the design (Architecture/Vastu)will be provided.
4.2.For Architecture/Vastu, Multiple layouts of therequested design may be shown, Final detailing will be done on the layout finalised.
4.3.NO revisions will be made after final layoutapproval.
5.PAYMENT TERMS
5.1.50% advance payment is required to start work.
5.2.Any scope change post-commencement ischargeable.
5.3.Full payment must be cleared within 7 days.
5.4.Prices mentioned on website are only repetitive.
6.Rightto Refuse Service
Wereserve the right to refuse any project at our discretion due to technical infeasibility, regulatoryconflicts, or misalignment with company policies.
7.Additional Costs
7.1.The client will be charged extra due to scopechanges, delays, or special requirements.
7.2.Any request for changes after layout or designfinalisation will be treated as a new task and billed accordingly.
7.3.Any printing of design files (drawings, plans,reports, etc.) requested by the client will be charged extra as per prevailingmarket rates
7.4.Site visits are billed at ₹1000/day + travel+ meals.
8.DELIVERY
8.1.The Projects should be completed within 30 daysfrom registration.
8.2.Delays due to client-side issues & change ofscope are not our responsibility.
8.3.Final drawings will be submitted in PDF format. Nosource files (.dwg or editable formats) will be provided unless agreedseparately.
9.REFUND POLICY
9.1.Advance payment will not be refunded under anycircumstances.
9.2.Unfortunately, due to the immediate access todigital products, all sales are final and nonrefundable.
9.3.Refunds are applicable only for duplicatepayments, subject to verification within 7 business days.
10.CANCELLATIONPOLICY
10.1.ThisAgreement shall commence on the date first written above and shall continueuntil the completion of the Services unless earlier terminated by either partyupon 3 days' written notice.
10.2.Ifthe project is terminated by the client, services rendered will be billed.
11.ClientResponsibility
11.1.For Architecture design clear andpossible requirements & Site details should be provided by the client.
11.2.For Structure design Site/Plotdetails (Site/Plot boundary, Exposure details)/(Surveydetails), Soil bearing capacity (SBC), Architectural drawing, Column layout (ifalready decided) etc. should be provided by the client. If some details are notprovided, it will be assumed as per IS Code provision.
11.3.If at any stage additionaldocuments, drawings, or clarifications are required from the client, a formalrequest will be made. The client shall be responsible for any delay orextension in the project timeline resulting from failure to provide the requestedinformation within 3 days of the request.
11.4.Clients must ensure that all inputs,including site layout, soil data, and project requirements, are accurate andcomplete. Any discrepancy or omission may delay the project and affect thefinal design.
12.Limitationof Liability
12.1.Notwithstanding anything to thecontrary in this agreement, the total liability of Syan Designers andConsultancy (including its personnel) to the client shall be limited to:
12.1.1. Any proven breach of these Terms andConditions;
12.1.2. Use or misuse of the deliveredservices or outputs;
12.1.3. Any proven negligence ormisrepresentation related to the contract.
12.2.SDAC shall not be liable for any indirect, incidental, or consequentialloss, including but not limited to loss of profit, revenue, opportunity, data,or goodwill.
12.3.SDAC's maximum liability under anycontract shall not exceed the total invoice value of the contractedservice.
13.Client’SINDEMNITY
The client shall indemnify Syan Designers and Consultancyagainst all losses, claims, or damages arising from misuse of designs,unauthorized modifications, non-compliance with laws, inaccurate data, orthird-party disputes related to the project.
14.Defaultor Insolvency
If the client defaults on payment, becomes insolvent, ordisrupts the project, SDAC may terminate the contract, forfeit advancepayments, and seek legal remedies.
15.IntellectualProperty
15.1.Alldesigns remain the intellectual property of Syan Designers and Consultancy. TheClient is granted a license to use the designs for the specific projectoutlined in this agreement. Unauthorized use, reproduction, or sharing isstrictly prohibited.
15.2.Theclient or sub-consultants cannot use SDAC’s name/logo/project images without priorwritten approval.
16.ForceMajeure
We are not liable for delays or non-performance due toevents beyond our control including natural disasters, strikes, technicalfailures, etc.
17.Severability
Invalid clauses don’t affect the validity of the rest ofthe agreement.
18.Third-PartyRights
A person who is not a party to this Contract has no rightto enforce any term of this Contract.
19.ASSIGNMENT
The Client may not assign, transfer, sub-contract or inany way dispose of its rights or obligations under this Contract without theprior written consent of SDAC.
20.Notices
Notices shall be deemed delivered when acknowledged byemail or confirmed via postal receipt.
21.DataPrivacy
Allclient data including documents, drawings, and personal information areconfidential and used solely for internal project execution and communication.
22.Confidentiality
All client information is confidential and will not beshared with third parties without explicit permission.
23.ENTIREAGREEMENT
Bothparties willingly agree to the terms, and the T&C document constitutes thefull legal agreement between them.
